Website Terms of Use
SupplementQuotes LLC, Mesa, Arizona · Version 5.1 · Effective Date: October 10, 2026
Introduction and Scope
These Website Terms of Use ("Terms") govern access to and use of supplementquotes.com (the "Website"), operated by SupplementQuotes LLC ("SupplementQuotes," "SQ," "we," "us," or "our"). These Terms are intended to complement, not replace, SQ’s specialized marketplace agreements.
1. Application of These Terms and Agreement Priority
These Terms apply to every person or entity accessing or using the Website, including unregistered visitors, customers, manufacturers, and other registered users (collectively, "Users"). By accessing or using the Website, Users are subject to these Terms to the extent enforceable under applicable law and the manner in which notice and assent are presented.
Customers and manufacturers who participate in marketplace activities are also subject to the separate Customer Terms and Conditions, Manufacturer Platform Agreement, and any other applicable agreements they accept or execute. If these Website Terms conflict with an applicable specialized agreement regarding a particular marketplace activity or subject, the specialized agreement controls with respect to that activity or subject. These Website Terms otherwise continue to apply.
Nothing in this section changes any confidentiality obligation imposed by a separate non-disclosure agreement or other binding contract.
2. Eligibility, Age, and Authority
Publicly available portions of the Website may be browsed by visitors, subject to these Terms and applicable law. To register for an account, submit or respond to requests for quotations, accept quotes, place or fulfill orders, or otherwise conduct marketplace transactions, an individual must be at least eighteen (18) years old and have the legal capacity to enter into binding contracts.
An individual accessing or using the marketplace on behalf of a company or other organization represents that they have authority to act for and bind that organization with respect to the applicable activities and agreements. SQ may request reasonable information to verify age, identity, business affiliation, or authority and may deny, restrict, suspend, or terminate account access where these eligibility requirements are not met, subject to applicable law and governing agreements.
3. Account Registration, Accuracy, and Security
Registered users must provide truthful, accurate, and reasonably complete information when creating an account and must keep their account and business contact information reasonably current. Users must not impersonate another person or business, misrepresent their authority, or create or use accounts for fraudulent or unauthorized purposes.
Users must take reasonable measures to safeguard passwords, authentication credentials, and account access, and must not share accounts or credentials with individuals who are not authorized to act for the account holder. Users must promptly notify SupplementQuotes through its available support channels if they suspect unauthorized access, compromised credentials, or misuse of an account.
SupplementQuotes may request information reasonably necessary to verify an account, business identity, or representative authority, and may restrict or suspend access where it reasonably identifies a compromised account, material misrepresentation, suspected fraud, or other security concern, subject to applicable law and any controlling Customer Terms and Conditions or Manufacturer Platform Agreement. This provision does not make an account holder automatically liable for unauthorized activity without regard to applicable law or the circumstances.
4. Prohibited Activities and Acceptable Use
Users must not use the Website or marketplace to commit fraud, misrepresent identity or affiliation, impersonate others, engage in unlawful conduct, send spam, harass others, or infringe the rights of any person or business. Users must not attempt unauthorized access to accounts, systems, private requests for quotations (RFQs), manufacturer information, or other restricted information; bypass security controls; disrupt Website operations; or introduce malicious code or software.
Users must not scrape, harvest, or systematically collect nonpublic RFQs, confidential formulas, pricing, manufacturer information, personal information, or other restricted Website data without authorization. Users must not obtain, disclose, use, or exploit another party’s confidential or proprietary information except as expressly authorized by applicable agreements and law. Nothing in these Terms grants permission to use customer formulas or trade secrets for competitive development or other unauthorized purposes.
SupplementQuotes may review suspected violations and take reasonable, proportionate steps, including warnings, limiting functionality, or restricting or suspending access, subject to applicable agreements and law. SQ may cooperate with lawful investigations and preserve relevant records as legally permitted. These Website Terms do not diminish confidentiality, intellectual-property, or other protections in separate agreements.
5. Intellectual Property and Ownership
SupplementQuotes LLC retains all rights, title, and interest in and to the Website, platform software, underlying technology, original platform content, interface design, branding, logos, and trademarks, including the SupplementQuotes name, except for materials owned by users or third parties. Access to the Website does not transfer ownership or grant a right to copy, modify, distribute, or commercially exploit SQ intellectual property except as expressly permitted in writing or by applicable law.
Customers retain ownership of their supplement formulas, product specifications, product descriptions, supporting documentation, trade secrets, and other proprietary materials they provide. Manufacturers likewise retain ownership of their proprietary quotations, manufacturing methods, documentation, and other materials, subject to any rights separately agreed in writing. Uploading or submitting such materials does not transfer ownership to SQ or another marketplace participant.
Each user grants SQ a limited, nonexclusive license, solely to the extent necessary to host, store, reproduce, display to authorized recipients, transmit, and otherwise process submitted materials to operate and administer the marketplace, facilitate RFQs, quotations, transactions, customer support, security, and compliance with applicable law. This permission is not a general license to sell, publish, disclose to unauthorized parties, or use customer formulas or manufacturer trade secrets to develop competing products. SQ’s use and disclosure of confidential information remain subject to applicable nondisclosure agreements, Customer Terms and Conditions, Manufacturer Platform Agreement, privacy commitments, and law.
6. Third-Party Websites and External Services
The Website may contain links to websites, resources, products, or services operated by independent third parties, including manufacturers, laboratories, carriers, payment providers, and other service providers. Such links are provided for convenience and informational purposes. A link does not, by itself, constitute SQ’s endorsement, sponsorship, certification, or guarantee of the third party or its offerings.
Except to the extent SQ expressly undertakes responsibility under an applicable agreement or applicable law, SQ does not control and is not responsible for the independent content, availability, security, privacy practices, policies, or services of third-party websites or providers. Users should review the relevant third party’s terms and privacy notices before interacting with its services or providing information.
Nothing in this section limits SQ’s own contractual duties regarding marketplace services, payments, or transactions, or any responsibility that cannot lawfully be excluded. Where a third-party service is integrated into SQ’s marketplace, the applicable SQ agreement and relevant provider terms determine the respective responsibilities.
7. Website Availability, Maintenance, and Interruptions
SupplementQuotes will use commercially reasonable efforts to maintain the availability and security of the Website and its marketplace functionality. However, SQ does not guarantee that access will be uninterrupted, timely, secure, or free from errors, defects, or outages. Website access may be temporarily limited or unavailable because of scheduled maintenance, software updates, hosting or infrastructure issues, third-party service interruptions, emergency repairs, security incidents, or circumstances beyond SQ’s reasonable control.
SQ may perform maintenance, deploy updates, and take reasonable emergency measures to protect the Website, its users, and platform data. Where reasonably practicable, SQ may provide notice of material planned interruptions, but no particular advance-notice period is guaranteed by these Terms. SQ is not automatically liable for temporary service interruptions, subject to applicable law and any obligations SQ has expressly undertaken under a separate binding agreement.
A Website interruption does not, by itself, cancel or alter an existing accepted quote, purchase order, payment obligation, or other marketplace transaction. The rights and obligations relating to those matters remain governed by the applicable Customer Terms and Conditions, Manufacturer Platform Agreement, purchase order, or other controlling agreement. Nothing here excludes liability or duties that cannot legally be excluded.
8. Website Information and Professional-Advice Disclaimer
Information presented on the Website, including articles, educational resources, general descriptions of dietary supplement manufacturing, testing, certifications, labeling, and regulatory practices, is provided for general informational purposes only. It is not legal, medical, regulatory, scientific, financial, or other professional advice, and should not be relied upon as a substitute for advice from appropriately qualified professionals.
SQ does not warrant that general Website information is complete, accurate, up to date, or appropriate for a particular product, facility, or situation. Users are responsible for independently verifying applicable product requirements, regulatory obligations, and technical specifications and obtaining appropriate professional guidance where needed.
This general-information disclaimer does not supersede any specific representation, warranty, service commitment, confidentiality obligation, or other duty expressly assumed by SQ under an applicable Customer Terms and Conditions, Manufacturer Platform Agreement, purchase order, or other binding agreement, nor does it exclude any responsibility that cannot lawfully be excluded.
8A. AI Formula Helper — Drafting Assistance and Limitations
If available, the AI Formula Helper may assist users in preparing preliminary product concepts, ingredient lists, suggested quantities, and draft specifications for possible transfer to a request for quotation (RFQ). Outputs may be inaccurate, incomplete, unsuitable, or inconsistent with applicable requirements. They are not professional formulation, toxicology, medical, scientific, manufacturing, labeling, or regulatory advice; SQ does not represent that any AI-generated draft is safe, effective, manufacturable, compliant, or eligible for particular claims.
Before relying on an output or submitting an RFQ, the Customer is responsible for independent review by appropriately qualified professionals and for verifying ingredient identity, permitted use, dosage, interactions, safety, specifications, testing, claims, and labeling under applicable law. Manufacturers retain their independent contractual and legal duties and may not treat an AI draft as an approved manufacturing instruction without required specification review and acceptance.
Customer-submitted formulas, AI conversations, and drafts remain subject to the Customer Terms, applicable confidentiality obligations, and the Privacy Policy. Use of AI tools may involve authorized technology providers only as accurately disclosed and permitted by applicable agreements and law. SQ does not grant itself or any manufacturer an unrelated right to exploit customer formulas or confidential AI drafts. What is sent to the provider, and the provider’s training and retention terms, are described in Section 4A of the Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SupplementQuotes LLC and its officers, managers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business opportunities, or loss of goodwill, arising from or related to general access to or use of the Website, even if advised of the possibility of such damages. This limitation is subject to applicable law and does not apply where legally prohibited.
For an accepted manufacturing order governed by an applicable Customer Terms and Conditions or Manufacturer Platform Agreement, SQ’s aggregate monetary liability for its own platform services is limited, to the maximum extent permitted by applicable law, to the SQ platform fees actually received and retained for that affected order, subject to the exceptions and payment obligations in the governing agreement. This order-specific limit does not extinguish funds SQ must return, transfer, or account for, and does not apply to liability that cannot lawfully be limited.
These Website Terms do not supersede, reduce, or alter specific payment, order, refund, confidentiality, security, or other obligations under the Customer Terms and Conditions, Manufacturer Platform Agreement, Manufacturer NDA, or other applicable agreement. The allocation of liability for marketplace transactions remains subject to the relevant agreement and applicable law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
10. User Indemnification
To the extent permitted by applicable law, each user agrees to defend, indemnify, and hold harmless SupplementQuotes LLC and its officers, managers, employees, and agents from third-party claims, damages, judgments, and reasonable costs and attorneys’ fees to the extent arising from that user’s fraud, unlawful conduct, infringement or misappropriation of another person’s intellectual property or confidential information, material breach of these Website Terms, or misuse of the Website.
SQ will provide reasonably prompt notice of a covered claim and reasonable cooperation in its defense, at the indemnifying user’s expense, except to the extent a delay materially prejudices the defense. The user may not settle a claim in a manner that admits fault on SQ’s behalf or imposes nonmonetary obligations on SQ without SQ’s prior written consent, not to be unreasonably withheld.
This indemnification applies only to the extent the claim is attributable to the user’s conduct and does not require the user to indemnify SQ for SQ’s own negligence, willful misconduct, or other acts for which indemnification is prohibited by law. Any indemnification specifically governed by the Customer Terms and Conditions, Manufacturer Platform Agreement, or another applicable agreement is controlled by that agreement for its subject matter.
11. Account Suspension, Restriction, and Termination
SupplementQuotes LLC (“SQ”) may suspend, restrict, or terminate a user’s access to the Website or account where SQ reasonably determines that doing so is necessary or appropriate in response to suspected fraud, unlawful activity, security threats, material violations of these Website Terms, or other legitimate operational or protective reasons, subject to applicable law and any controlling agreement.
SQ may act without advance notice where prompt action is reasonably necessary to protect users, confidential information, marketplace integrity, or the security of the Website. In other circumstances, SQ will provide notice when reasonably practicable, including a general explanation of the restriction where appropriate and lawful. SQ may request information to verify an account or resolve a concern and may restore access when the basis for restriction has been adequately addressed.
Suspension or termination of Website access does not automatically cancel, discharge, or modify an existing accepted quote, purchase order, payment or refund obligation, confidentiality duty, or dispute right. Such matters continue to be governed by the applicable Customer Terms and Conditions, Manufacturer Platform Agreement, Manufacturer NDA, transaction documents, and applicable law. SQ will handle any ongoing transactions consistently with those obligations.
12. Changes to Website Terms
SupplementQuotes LLC (“SQ”) may revise these Website Terms at any time by posting an updated version on the Website. The updated version will identify its effective date and will apply from that date, subject to applicable law and any controlling agreement.
SQ is not generally required under these Website Terms to provide individual email or dashboard notice of revisions. Users are responsible for reviewing the posted Website Terms periodically. Continued use after revised Terms become effective may indicate acceptance to the extent permitted by applicable law; where affirmative consent is legally required, SQ will obtain it.
These Website Terms do not override any separately accepted Customer Terms and Conditions, Manufacturer Platform Agreement, Manufacturer NDA, or binding transaction documents. Changes to existing orders or accrued contractual rights remain subject to those documents and applicable law. Users who do not agree to revised Website Terms should discontinue affected Website use, subject to surviving obligations.
13. Governing Law and Dispute Resolution
These Website Terms and disputes arising solely under them are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules, except where mandatory applicable law requires otherwise.
Subject to applicable law and any mandatory jurisdictional requirements, the parties agree that disputes arising solely under these Website Terms will be brought in the appropriate state courts located in Maricopa County, Arizona, or the United States District Court for the District of Arizona, as applicable. Each party consents to personal jurisdiction and venue in those courts for such disputes, except to the extent prohibited by law.
Any dispute governed by separately accepted Customer Terms and Conditions, a Manufacturer Platform Agreement, a Manufacturer NDA, or a transaction-specific agreement will instead be resolved according to the governing-law, forum, and dispute-resolution provisions of that applicable agreement. This Section does not displace mandatory rights or remedies under applicable law.
14. Contact Information and General Provisions
Questions or notices concerning these Website Terms may be directed to SupplementQuotes LLC at info@supplementquotes.com. Where applicable law or another binding agreement requires a particular method of notice, that requirement controls.
If any provision of these Website Terms is held invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. SQ’s failure or delay in enforcing any provision does not waive its right to enforce that provision or any other provision later.
These Website Terms supplement, and do not replace, the separately accepted Customer Terms and Conditions, Manufacturer Platform Agreement, Manufacturer NDA, and applicable transaction-specific agreements. In the event of a conflict regarding a matter specifically addressed by one of those agreements, that agreement controls as to that matter, subject to applicable law. Headings are for convenience and do not affect interpretation.
Effective Date: October 10, 2026
15. Contract acceptance, suspension, termination and continuing obligations
Existing specific order, payment, and NDA provisions control where more precise.
Affirmative electronic acceptance and evidence
Where these terms require acceptance, SQ will present the applicable agreement and require a deliberate affirmative action (such as an unchecked checkbox and an Accept control) before the relevant protected action. SQ should retain the exact agreement version or immutable snapshot/hash, user/account identifier, signer name and capacity where appropriate, UTC timestamp, assent event, and available security metadata. Mere website browsing does not substitute for acceptance of a separately required contract. Any electronic signature or consent process remains subject to applicable law.
Material changes and reacceptance
SQ may update terms prospectively with reasonable notice appropriate to the change and applicable law. Material changes to accepted contractual obligations require affirmative reacceptance when required by law or the governing contract; they do not silently rewrite accepted orders. SQ may restrict new RFQs, quoting, or other affected features until required reacceptance is completed, without unlawfully withholding existing records or amounts due.
Suspension, notice and cure
SQ may temporarily restrict or suspend an account for suspected fraud, confidentiality breach, material nonpayment, security threats, regulatory concerns, or material violations. When practicable and not unsafe, SQ will provide the reason and a reasonable opportunity to cure a remediable breach. Immediate restriction may be used for urgent legal, security, financial, or confidentiality risks. SQ will maintain a record of the reason, decision, notice and any review.
Termination and survival
Termination ends future marketplace privileges but does not automatically cancel an accepted purchase order or waive accrued fees, outstanding payments, dispute rights, customer or manufacturer obligations, confidentiality, intellectual-property restrictions, indemnities, or provisions intended to survive. Existing orders will be completed, transferred, suspended, or cancelled only under the applicable accepted order terms and law. SQ will provide legally required access to records and data-rights processes after account closure.
